This is the working draft of the Maple eSign Terms of Use, published for review. Bracketed items are confirmed before the effective date, and nothing here replaces an agreement your organization already has with Maple.

Who we are and when these terms apply

Maple eSign is operated by [LEGAL ENTITY NAME], located at [BUSINESS ADDRESS] ("Maple", "we", "us", or "our"). These Terms of Use govern access to mapleesign.ca and the Maple eSign application, signing workflows, APIs, and related services (the "Service").

By accepting these Terms when prompted, you agree to them. If you act for an organization, you confirm that you have authority to bind it. If you do not agree, do not create an account or proceed with a workflow that requires acceptance.

A separate written agreement with Maple controls to the extent it conflicts with these Terms. Our Privacy Policy (mapleesign.ca/privacy) explains how personal information is handled. Acceptance of these Terms does not replace any separate consent required for signing or processing personal information.

What Maple provides

Maple provides tools to prepare, send, review, sign, track, and complete electronic agreements. Features include templates, recipient routing, form fields, attachments, reminders, optional SMS verification, bulk sending, integrations, and completion records, subject to availability and configuration.

The Service is currently free. We will disclose any proposed charges in advance and obtain your agreement before charging you. Access may be subject to reasonable technical and abuse-prevention limits.

Maple supplies the signing platform. We are not a party to agreements exchanged through it and do not provide legal advice, notarization, or a guarantee that a document or signature satisfies every legal requirement.

Eligibility and account security

You must have legal capacity to accept these Terms and authority to perform the actions you take through the Service. Account holders must have reached the age of majority where they live.

Keep account and recipient details accurate. Protect passwords, signing links, one-time codes, API tokens, and integration secrets. Do not share individual access credentials. Notify us promptly through [SUPPORT EMAIL] if you suspect unauthorized access.

An organization is responsible for managing its authorized users, permissions, integrations, and account access. Its administrators may manage documents and activity available to them within that organization. You are responsible for activity you authorize and for taking reasonable steps to secure your access.

Sender responsibilities

If you upload a document or initiate a signing workflow, you are responsible for:

1. Having the right to upload, use, and share the document and any personal information it contains. 2. Identifying the correct recipients and their authority to act, and selecting appropriate verification measures. 3. Providing accurate content, instructions, notices, and required consents, including for email or SMS invitations. 4. Determining whether electronic signing is suitable for the document, parties, and applicable jurisdiction, including any witnessing, notarization, identity, or special form requirements. 5. Reviewing workflow settings, monitoring completion, and retrieving and retaining the completed agreement and associated evidence. 6. Making the completed agreement available to recipients as required by law or your agreement with them.

Do not assume that an ordinary electronic-signing workflow is suitable for documents subject to special legal formalities.

Recipient choice and electronic signatures

Read the document and signing disclosures before signing. Contact the sender about incorrect information, unclear terms, accessibility needs, or an alternative signing method. You may stop before submitting or use the decline option where available. The sender determines available alternatives, subject to applicable law.

When you deliberately apply a signature and submit it through the signing process, you intend that action to authenticate the document as described in that process. Signing consent is recorded separately from acceptance of these Terms. Do not sign for another person unless you have authority and the workflow correctly identifies the capacity in which you act.

Electronic signing requires a compatible browser, internet access, access to the invitation channel, and the ability to view the document. Saving a copy requires suitable storage or printing access. Additional verification may require access to the telephone number provided for you.

Choosing another method or withdrawing consent for future electronic interactions does not automatically cancel an agreement already signed or require deletion of its evidence. Contact the sender about a copy, correction, cancellation, or dispute concerning that agreement.

Documents, ownership, and confidentiality

You and the relevant rights holders retain ownership of uploaded documents, signatures, attachments, and other submitted content. You grant Maple a limited right to host, process, reproduce, transmit, and display that content as necessary to provide and secure the Service, follow authorized instructions, and meet legal obligations. This does not grant us ownership or a general right to publish your content.

We will treat non-public submitted content as confidential and restrict its disclosure to authorized participants, personnel and providers who need it to perform permitted functions, or recipients permitted or required by law. Personal information is also subject to the Privacy Policy. The operational arrangements supporting these commitments must be established before these Terms take effect.

Maple and its licensors retain rights in the Service, software, branding, and materials other than your content. You may use them only as permitted by these Terms or an applicable licence.

Acceptable use and integrations

You must not use the Service to commit fraud, forge signatures, impersonate others, send unlawful or unsolicited bulk messages, distribute malicious content, infringe rights, bypass access controls, access another team's information, or deliberately disrupt the Service.

Use APIs and webhooks within documented permissions and limits. You are responsible for integrations you authorize and the information you send to them. Third-party services have their own terms and privacy practices. Report security concerns through [SECURITY CONTACT].

Completion evidence and recordkeeping

Maple can produce a completed PDF, Certificate of Completion, document hash, and audit history. These records support evidence of the workflow and document integrity. They do not independently establish a person's legal authority, the truth of document contents, or enforceability in every jurisdiction.

Keep copies of records you need. Maple is not a substitute for your legal recordkeeping duties. The sender controls delivery of the final package to recipients. Storage and deletion are governed by the Privacy Policy and any separate agreement. Account closure is not the same as deleting completed agreements or records held by other participants.

Availability, changes, and support

We aim to provide a reliable Service, but interruptions, delivery delays, maintenance, and errors may occur. Unless agreed in writing, we do not promise a particular uptime, support response time, or uninterrupted availability. Email support is available through [SUPPORT EMAIL].

We may update features or discontinue parts of the Service. Where reasonably practicable, we will provide advance notice of material reductions or discontinuation and a reasonable opportunity to retrieve your records. Urgent security or legal requirements may require immediate action.

Suspension and ending access

We may restrict access when reasonably necessary to address a material breach of these Terms, suspected fraud, a security threat, or a legal requirement. Where practicable, we will explain the reason and allow you to resolve it. Restrictions will be proportionate to the issue.

You may stop using the Service at any time. Contact [ACCOUNT SUPPORT CONTACT] to request account closure. There is currently no self-service account-closure or deletion feature. Ending access does not automatically erase agreements, audit evidence, legal holds, or copies held by other participants. Requests involving personal information are handled under the Privacy Policy and applicable law.

Warranties and liability

To the extent permitted by law, the Service is provided "as is" and "as available", without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that every error will be corrected or that electronic signing will meet the requirements of every transaction.

To the extent permitted by law, neither party is liable to the other for indirect or consequential losses, including lost profits or business opportunities. Maple's total liability arising from the Service or these Terms is limited to [APPROVED LIABILITY CAP AND MEASUREMENT PERIOD].

These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence, or liability that applicable law does not permit to be limited. Nothing in these Terms removes mandatory consumer protections, statutory privacy rights, or access to a regulator.

Disputes, governing law, and general terms

Subject to mandatory laws and consumer rights that apply where you live, these Terms are governed by the laws of [PROVINCE OR TERRITORY] and the applicable federal laws of Canada. Courts in [LOCATION] have jurisdiction, without limiting a right to bring proceedings elsewhere where required by law.

If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. Terms concerning ownership, confidentiality, retained records, liability, and disputes survive termination to the extent relevant.

Updates and contact

We may revise these Terms and will publish the updated version and effective date. We will provide notice of material changes through an appropriate channel and obtain renewed acceptance where required. Changes do not retroactively alter completed agreements between senders and recipients.
